Terms of Service

1. Agreement to These Terms
These Terms of Service are an agreement between you and Ivan Del Rio, the operator of SpeakMercury (“SpeakMercury,” “we,” “us,” or “our”). They apply to the SpeakMercury macOS app, website, account, downloads, updates, and support services. By creating an account, purchasing, or using SpeakMercury, you agree to these Terms and acknowledge our Privacy Policy. If you do not agree, do not purchase or use SpeakMercury.
2. Eligibility
You must be at least 18 years old and legally able to enter a binding contract. If you are a minor where you live, a parent or legal guardian must purchase SpeakMercury, accept these Terms for you, and supervise your use. SpeakMercury is not directed to children under 13. You may not use the service where prohibited by law.
3. Purchase and License
A completed one-time purchase grants you a limited, non-exclusive, non-transferable, revocable, perpetual license to use the purchased version of SpeakMercury for personal and professional purposes on Mac computers that you personally own or control. You do not acquire ownership of the software or its intellectual property.
The one-time price does not promise every future feature, indefinite updates, or compatibility with every future operating system or device. Future major versions may be offered for a separate price. Optional products or services offered later may also have separate prices and terms. Any taxes shown at checkout are your responsibility.
4. Account Security
A SpeakMercury account is required to verify a purchase and activate the app. You must provide accurate information, protect your credentials, and promptly tell us about suspected unauthorized use. You are responsible for activity under your account unless applicable law says otherwise. Do not share, sell, or transfer your account or license.
5. Acceptable Use and Restrictions
You may not:
- Copy, resell, sublicense, rent, or distribute the app or license.
- Reverse engineer, decompile, disassemble, or attempt to derive source code, except where applicable law expressly permits it.
- Circumvent purchase verification, security controls, or usage restrictions.
- Use SpeakMercury to violate law, another person's rights, or these Terms.
- Interfere with the website, accounts, checkout, update service, or other users.
6. Your Content and Responsibilities
You keep all rights you have in the words and other content you dictate. You are responsible for that content and for having the right to create, use, copy, or share it. You must obtain any consent required before dictating or recording another person's confidential, private, or protected information. SpeakMercury is a writing tool and does not monitor or approve your content.
7. Transcription Accuracy and Important Uses
Speech recognition can mishear, omit, or alter words. You are responsible for reviewing output before sending, publishing, signing, or relying on it. Do not rely on SpeakMercury as the sole means of creating emergency, medical, legal, financial, safety-critical, accessibility-critical, or other high-risk communications. The app does not provide medical, legal, financial, or professional advice.
8. System Requirements and Permissions
The current release requires macOS 26 (Tahoe) or later and Apple silicon. It also requires microphone, speech recognition, and Accessibility permissions. Apple may change operating system behavior, frameworks, language availability, permissions, or hardware support. We do not guarantee compatibility with unsupported systems or every future macOS release.
9. Third-Party Services
SpeakMercury relies on third-party services and software, including Apple frameworks, Supabase authentication, Stripe checkout, Vercel hosting, GitHub downloads, and Sparkle updates. Their terms and privacy policies may apply to their services. We are not responsible for third-party outages, changes, or acts outside our reasonable control.
10. Updates, Availability, and Changes
We may provide, change, suspend, or discontinue features, updates, website functions, or support. We may issue security or compatibility updates and may require an update to continue using connected features. We do not promise that any announced or previewed feature will ship. A perpetual license does not guarantee perpetual online services, support, or compatibility.
11. Refunds
Eligible purchases may be refunded under our 30-day Refund Policy. A refund ends the associated license and access to purchase-gated downloads. Nothing in these Terms limits refund or cancellation rights that cannot be waived under applicable law.
12. Intellectual Property
SpeakMercury, including its software, design, branding, website, and documentation, is owned by its developer or licensors and is protected by intellectual property laws. Apple, macOS, and other third-party names and marks belong to their respective owners. No rights are granted except the limited license stated in these Terms.
13. Suspension and Termination
We may suspend or terminate access to connected services if you materially violate these Terms, misuse the service, create a security risk, or if required by law. Where practical, we will provide notice and a chance to correct the issue. You may stop using and uninstall the app at any time. Sections that by their nature should survive will survive termination.
14. Disclaimer of Warranties
To the maximum extent permitted by law, SpeakMercury and related services are provided “as is” and “as available.” We disclaim all express, implied, and statutory warranties, including merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, and quiet enjoyment. We do not warrant that the app or services will be uninterrupted, error-free, secure, or meet every need.
15. Limitation of Liability
To the maximum extent permitted by law, SpeakMercury and its operator will not be liable for indirect, incidental, special, exemplary, consequential, or punitive damages, or for lost profits, revenue, data, goodwill, business opportunity, or cost of substitute services arising from or related to SpeakMercury. Our total liability for all claims will not exceed the amount you paid for SpeakMercury. These limits do not apply where liability cannot lawfully be excluded or limited.
16. Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold harmless SpeakMercury and its operator from third-party claims, damages, liabilities, and reasonable costs arising from your unlawful use of SpeakMercury, your content, your violation of another person's rights, or your material breach of these Terms. This does not require you to indemnify us for our own fraud, gross negligence, or willful misconduct.
17. Governing Law
These Terms are governed by the laws of the State of California, without regard to its conflict-of-law rules. Any dispute that is not resolved informally may be brought in a state or federal court with jurisdiction in California. Mandatory consumer protections and rights in your place of residence still apply when they cannot lawfully be waived.
18. Changes to These Terms
We may update these Terms prospectively. The updated version will show a new effective date. If a change materially reduces existing rights, we will provide reasonable notice when required. Changes do not retroactively rewrite completed purchases unless you expressly agree or applicable law permits it.
19. Entire Agreement
These Terms, the Privacy Policy, the Refund Policy, and terms shown at checkout form the entire agreement about SpeakMercury and replace prior discussions about the same subject. If one provision is unenforceable, the rest remain effective. A failure to enforce a provision is not a waiver. You may not assign these Terms without our consent. We may assign them as part of a merger, reorganization, asset sale, or by operation of law.
